These Terms and Conditions ("Terms") govern the relationship between Wave Consulting ("we," "us," or "our") and any individual or entity ("Client" or "you") that engages our services, visits our website at waveconsulting.biz, or books a call with our team. By engaging Wave Consulting in any capacity, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Services

Wave Consulting provides custom landing page design and development within the GoHighLevel (GHL) platform, as well as ongoing conversion rate optimization (CRO) retainers. All work is performed exclusively by our in-house 2-person team based in Wilmington, NC. We do not subcontract, outsource, or use templates.

The specific scope of services, deliverables, timeline, and pricing for each engagement will be agreed upon in writing (via email or a signed proposal) prior to the commencement of any work. Verbal agreements are not binding until confirmed in writing.

Any changes to the agreed scope after work has begun must be requested in writing and may result in revised timelines, additional fees, or both. We will communicate any scope-related changes and associated costs before implementing them.

2. Pricing & Payment

Our current pricing for landing page projects is as follows:

One-time landing page projects require payment in full before work begins. Monthly retainer packages are billed at the start of each billing cycle. Invoices are due within 5 business days of receipt. Late payments may result in paused or suspended work until the balance is settled.

All prices are listed in U.S. dollars. We reserve the right to update pricing with 30 days' written notice to existing retainer clients. Price changes do not apply retroactively to projects already underway.

3. Conversion Rate Guarantee

We stand behind our work. We guarantee a minimum 10% improvement in conversion rate on all landing pages we build, measured over a mutually agreed evaluation period using adequate traffic data (minimum 500 unique visitors to the page post-launch).

If the 10% conversion improvement benchmark is not met within the evaluation period, we will issue a full refund for the affected one-time project. This guarantee does not apply to retainer fees for months prior to the evaluation period.

The guarantee is subject to the following conditions: (a) the page must receive the minimum required traffic; (b) the client must provide accurate and verifiable baseline conversion data (pre-launch); (c) no material changes may be made to the page by the client or any third party after delivery without our involvement; and (d) the client must have followed our recommended traffic strategy or be running paid traffic to the page. Wave Consulting reserves the right to verify analytics data before processing any refund claim.

4. Client Responsibilities

A successful engagement depends on active collaboration. Clients agree to:

Delays caused by the client — including late asset delivery, delayed feedback, or restricted account access — may impact project timelines without penalty to Wave Consulting, and do not trigger the conversion guarantee evaluation period until the page is properly launched.

5. Revisions & Feedback

Each landing page project includes up to two rounds of revisions based on client feedback following initial delivery. Revisions must be submitted as a consolidated list within 5 business days of receiving the deliverable. Additional revision rounds beyond the included two may be accommodated at an hourly rate, communicated and approved in advance.

Revisions are limited to changes within the original agreed scope. Requests that constitute new design directions or significant content overhauls may be treated as scope changes and priced accordingly.

6. Intellectual Property

Upon receipt of full payment for a project, the client receives full ownership of all custom design elements, copy, and page assets created specifically for their engagement. This includes GHL page structures, sections, and any associated graphics produced by Wave Consulting for that project.

Wave Consulting retains ownership of any underlying frameworks, proprietary processes, or reusable systems developed as part of our internal methodology. We reserve the right to reference the client's project — including results, screenshots, and performance data — in our portfolio, case studies, and marketing materials, unless the client requests in writing that we keep the engagement confidential.

7. Confidentiality

Both parties agree to treat as confidential any non-public business information shared during the course of the engagement. Wave Consulting will not share client data, project details, or business information with third parties except as required to deliver the agreed services (e.g., within the GoHighLevel platform).

This confidentiality obligation does not apply to information that becomes publicly available through no fault of either party, or that is required to be disclosed by law or court order.

8. Retainer Cancellation

Monthly retainer packages may be cancelled at any time by providing written notice (email is acceptable) to hello@waveconsulting.biz. Cancellation takes effect at the end of the current billing cycle — meaning you will retain access to services through the period already paid for. No partial refunds are issued for mid-cycle cancellations.

Wave Consulting reserves the right to terminate a retainer engagement with 14 days' written notice if the client fails to meet payment obligations, engages in abusive behavior toward our team, or materially breaches these Terms. In such cases, any fees already paid for the current billing period are non-refundable.

9. Warranties & Disclaimers

Wave Consulting warrants that our services will be performed in a professional and workmanlike manner consistent with industry standards. Beyond the conversion rate guarantee described in Section 3, we make no warranties, express or implied, regarding specific business outcomes, revenue increases, lead volumes, or return on advertising spend.

Conversion rates are influenced by many factors outside our control, including ad targeting, offer quality, traffic source, market conditions, and seasonal factors. Our guarantee is limited to the measurable conversion rate improvement on the page itself under conditions where adequate comparable traffic exists.

10. Limitation of Liability

To the fullest extent permitted by law, Wave Consulting's total liability to a client for any claim arising out of or related to our services is limited to the total amount paid by that client in the three months preceding the claim. We are not liable for indirect, incidental, special, punitive, or consequential damages, including but not limited to lost revenue, lost profits, lost business opportunities, or data loss, even if we have been advised of the possibility of such damages.

11. Indemnification

The client agrees to indemnify, defend, and hold harmless Wave Consulting and its team members from and against any claims, losses, liabilities, damages, or expenses (including reasonable legal fees) arising out of: (a) the client's use of the delivered landing pages; (b) content, copy, or brand assets provided by the client; (c) the client's violation of any applicable laws or third-party rights; or (d) the client's breach of these Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services shall first be addressed through good-faith written negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in New Hanover County, NC, under the rules of the American Arbitration Association.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

13. Entire Agreement

These Terms, together with any written project proposal or service agreement entered into between the parties, constitute the entire agreement between Wave Consulting and the client with respect to the subject matter herein, and supersede all prior discussions, representations, or agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14. Changes to These Terms

We may update these Terms periodically to reflect changes in our business or applicable law. When we do, we will update the "Last updated" date at the top of this page. Active retainer clients will be notified of material changes by email at least 14 days before they take effect. Continued engagement with our services after updated Terms are posted constitutes acceptance of the revised terms.
